Terms of Service

An individual or legal entity, including an individual entrepreneur, having entered into this Agreement, hereinafter referred to as the “User”, on the one hand, and

Mediacube Solutions inc., a legal entity created and functioning in accordance with Canadian law, hereinafter referred to as the “Contractor”, on the other hand, collectively referred to as the “Parties”, individually as the “Party”, have entered into this Agreement to the Public Offer Contract (hereinafter the “Agreement”) as follows:

1. GENERAL PROVISIONS

1.1. All terms and definitions used in this Agreement are considered as terms and definitions specified in Section 1 of the Contract offer to which this Agreement is concluded and being an integral part of it. In the absence of such terms and definitions in the Offer Agreement, they will be given in this Agreement.

1.2. Any terms and conditions contained in this Agreement shall prevail over the terms of the Contract offer. In all other respects that are not stipulated by this Agreement, the Parties are guided by the terms of the Contract offer.

1.3. The parties certify that they have the legal authority to enter into this Agreement, the persons who have accepted the terms of this Agreement have all the rights to perform the legal actions specified in it in accordance with the laws of Canada.

2. CONDITIONS OF FORMATION OF ADVERTISING REVENUES

2.1. Link to Content for which Advertising Revenue is generated __________________________________________________________________________________________

2.2. Revenue from the User’s advertising is generated from the following sources:

- Ads revenue: The Contractor pays the User __% from cash received from the Platform;

__% from the funds received from the Platform, the Contractor will retain as payment for the cost of content management services in the mediacube.id system

- YouTube Premium revenue: The Contractor pays the User __% from cash received from the Platform; __% from the funds received from the Platform, the Contractor will retain as payment for the cost of content management services in the mediacube.id system;

- Ads Claimed Views revenue: The Contractor pays the User __% from cash received from the Platform; __% from the funds received from the Platform, the Contractor will retain as payment for the cost of content management services in the mediacube.id system;

- YouTube Premium Claimed Views revenue: The Contractor pays the User __% from cash received from the Platform; __% from the funds received from the Platform, the Contractor will retain as payment for the cost of content management services in the mediacube.id system;

- Sponsorships: The Contractor pays the User __% from cash received from the Platform; __% from the funds received from the Platform, the Contractor will retain as payment for the cost of content management services in the mediacube.id system;

- Superchat: The Contractor pays the User __% from cash received from the Platform; __% from the funds received from the Platform, the Contractor will retain as payment for the cost of content management services in the mediacube.id system.

2.2. The procedure for generating advertising revenues is governed by Section 5 of the Contract offer to which this Agreement is concluded.

2.3. The Contractor has the right to withhold the User’s remuneration in favor of the Contractor in the following cases:

  1. Disabling the YouTube channel earlier than the time provided for by the terms of this Agreement;
  2. demonetization of the channel (in a situation when the YouTube channel is automatically disconnected from the affiliate program when YouTube decides to disable monetization for certain violations);
  3. blocking the YouTube channel;
  4. the existence of gross violations of the terms of use of YouTube, copyright infringement;
  5. in violation of the terms of this Agreement and the Contract offer.

3. TERM OF THE AGREEMENT

3.1. The Agreement enters into force from the date of its signing by the Parties and is valid for 1 (One) month, after which the Agreement is automatically extended for each subsequent 1 (One) month. The user has the right to terminate this Agreement by sending a notification to the technical support email address: support@mediacube.network, not earlier than 30 (thirty) calendar days before the expected termination date. The Contractor has the right to terminate the Agreement with the User unilaterally with simultaneous sending of the notification to the email address specified during the registration of the User. The moment of termination of the Agreement shall be the date of sending the relevant notice to the User.
